Vendor Agreement

This Vendor Agreement ("Agreement") supplements the Preorda Terms of Service and governs your use of Preorda as a seller ("Vendor"). By creating a seller account and launching a campaign, you agree to this Agreement.
1. Eligibility
To sell on Preorda you must:
- Be at least 18 years of age
- Be a UK resident or registered UK business (or otherwise eligible to sell to UK customers under applicable law)
- Have a valid email address and bank account capable of receiving Stripe payouts
- Have the legal right to sell the products or services listed in your campaigns
2. Campaign standards
2.1 Accuracy
All campaign descriptions, images, pricing, and fulfilment details must be accurate and not misleading. You may not use stock images that misrepresent the actual product. You must clearly describe what Customers will receive, when they will receive it, and any limitations.
2.2 Pricing
The campaign price you set is the price Customers will be charged. You may not increase the price after a campaign has launched. Any stated "regular price" used to calculate savings must be a genuine previous selling price.
2.3 Target setting
Your minimum order target must reflect a genuine minimum quantity required for production or fulfilment. Artificially low targets set to guarantee success regardless of real demand are not permitted.
3. Fulfilment obligations
When a campaign meets its target and closes successfully, you are legally obligated to fulfil all pledged orders as described. Specifically:
- Dispatch or deliver all orders within the timeframe stated in your campaign
- Communicate proactively with Customers if there are delays
- Provide a valid tracking number or delivery confirmation where applicable
- For digital products: deliver the digital item within 48 hours of campaign close
Failure to fulfil orders may result in account suspension, required refunds to Customers, and recovery of fees from future payouts or via legal action.
4. Prohibited products and services
The following are not permitted on Preorda:
- Counterfeit or unlicensed goods
- Weapons, ammunition, or dangerous materials
- Controlled substances or illegal drugs
- Adult content of any kind
- Financial products, investment schemes, or cryptocurrency
- Services that constitute unlicensed professional practice (medical, legal, financial advice)
- Anything illegal under UK law or the laws of the Customer's jurisdiction
5. Fees and payouts
5.1 Platform fee
Preorda charges 5% of gross campaign revenue on successful campaigns. This is deducted before payout. There is no charge for campaigns that do not meet their target.
5.2 Payment processing
Stripe's standard payment processing fees apply and are charged on top of Preorda's platform fee. Current Stripe UK rates are available on Stripe's pricing page.
5.3 Payout schedule
Payouts are initiated within 1 business day of a campaign closing successfully and typically arrive in your Stripe-connected bank account within 3–5 business days, subject to Stripe's standard payout schedule.
5.4 Disputes and chargebacks
In the event of a Customer dispute or chargeback, Preorda may recover the disputed amount from a future payout. Vendors are responsible for maintaining adequate evidence of fulfilment to defend against chargebacks.
6. Taxes
You are solely responsible for determining and remitting any taxes applicable to your sales, including VAT where applicable. Preorda provides transaction records to assist with tax reporting but does not act as your tax agent.
7. Intellectual property
You warrant that you own or have the right to use all content, images, and materials uploaded to Preorda. You indemnify Preorda against any claims arising from intellectual property infringement in your campaign content.
8. Account suspension and termination
Preorda may suspend or terminate your Vendor account immediately if you: breach this Agreement or the Terms of Service; receive repeated customer complaints; fail to fulfil orders; or engage in fraudulent activity. Active campaigns may be cancelled and Customers refunded in such cases.
9. Changes to this Agreement
We may update this Agreement from time to time. Continued use of Preorda as a Vendor after changes take effect constitutes acceptance of the updated terms. Material changes will be communicated by email with at least 14 days' notice.
